Margie — Pre-Underwriting Analysis Platform

These Terms of Service (“Terms”) govern your access to and use of the Margie pre-underwriting analysis platform (the “Platform”) operated by Margie (“we,” “us,” “our”) and available at getmargie.com. By creating an account or using the Platform, you (“you,” “your”) agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Platform.


1. Eligibility and Account Registration

1.1 Eligibility

The Platform is available exclusively to individuals and entities that hold a valid, active mortgage broker license issued by the Illinois Department of Financial and Professional Regulation (“IDFPR”). By registering, you represent and warrant that:

  • You hold a current Illinois mortgage broker license and are in good standing with the IDFPR.
  • You maintain a valid NMLS registration.
  • You have the legal authority to bind yourself (and, if applicable, your organization) to these Terms.
  • You will use the Platform only in connection with legitimate mortgage brokerage activities.

1.2 Account Registration

You must provide accurate, current, and complete registration information, including your Illinois license number. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

1.3 Account Verification

We reserve the right to verify your Illinois mortgage broker license status at registration and periodically thereafter. We may suspend or terminate your account if we determine that your license has expired, been revoked, or is otherwise invalid.


2. Platform Description and Scope

2.1 Service Overview

Margie is a pre-underwriting analysis platform that processes borrower documents — including W-2 forms, pay stubs, bank statements, and 1003 Uniform Residential Loan Applications — through a six-stage forensic analysis engine. The Platform generates structured analysis reports to assist licensed mortgage brokers in evaluating loan files prior to formal underwriting submission.

2.2 Processing Architecture

Borrower documents uploaded to the Platform are processed entirely in volatile memory. Documents are never written to disk or cloud storage. Only the resulting structured analysis outputs are stored in our database (Firebase Firestore). Original documents are not retained after processing is complete.

2.3 Third-Party Processing

The Platform uses the following third-party services to perform its analysis:

  • Azure Document Intelligence for optical character recognition
  • Anthropic Claude for narrative analysis and forensic commentary
  • Google Gemini for automated field population

Data is transmitted to these services over encrypted channels solely for the purpose of processing your uploaded documents. These providers are bound by data processing agreements.

2.4 Limitations of the Platform

The Platform is a decision-support tool, not a substitute for professional underwriting judgment.

  • Analysis outputs are not underwriting decisions, loan approvals, or commitments to lend.
  • The Platform does not guarantee the accuracy, completeness, or reliability of its analysis. AI-generated content may contain errors, hallucinations, or omissions.
  • You remain solely responsible for independently verifying all analysis results before relying on them for any business decision.
  • The Platform does not provide legal, tax, financial, or compliance advice.
  • Use of the Platform does not satisfy any regulatory examination, due diligence, or underwriting requirement imposed by law, regulation, or investor guidelines.

3. Pricing and Payment

3.1 Pricing

The Platform operates on a per-file pricing model:

  • Price: Per-file pricing as displayed on the purchase page at time of purchase
  • Introductory credits: New accounts receive introductory free credits as specified during account registration

A “file” constitutes one complete borrower document submission processed through the analysis engine, regardless of the number of pages or document types included in the submission.

3.2 Payment Processing

All payments are processed through Stripe. By using the Platform, you agree to Stripe's terms of service as applicable to payment processing. We do not store your full payment card information on our servers.

3.3 Billing

Credits are purchased in advance via Stripe Checkout and deducted when a file is submitted for analysis. One credit is consumed per file submitted, regardless of the number of documents included or stages processed. All fees are in U.S. dollars. Applicable sales tax is calculated and collected at the time of credit purchase based on your billing address.

3.4 Refunds

If the Platform fails to process a file due to a system error (not caused by the quality or format of the uploaded document), we will credit your account for the affected file. We do not offer refunds for analyses that you find unsatisfactory, as the Platform performs automated processing and cannot guarantee specific analytical outcomes.

3.5 Pricing Changes

We may modify our pricing at any time by providing 30 days' advance notice via email or through the Platform. Continued use after the effective date of a price change constitutes acceptance of the new pricing. Price changes do not apply to credits already purchased or free credits already allocated.


4. Your Responsibilities

4.1 Compliance with Law

You are solely responsible for ensuring that your use of the Platform complies with all applicable federal and state laws and regulations, including but not limited to:

  • The Gramm-Leach-Bliley Act (“GLBA”) and its implementing regulations
  • The Real Estate Settlement Procedures Act (“RESPA”)
  • The Truth in Lending Act (“TILA”)
  • The Equal Credit Opportunity Act (“ECOA”)
  • The Fair Housing Act
  • The Illinois Residential Mortgage License Act (205 ILCS 635)
  • All applicable IDFPR rules and regulations
  • Any investor or agency guidelines applicable to the loans you originate

4.2 Borrower Authorization

Before uploading any borrower documents to the Platform, you represent and warrant that you have obtained all required authorizations and consents from the borrower to share their documents and personal information with Margie and our third-party service providers for the purpose of pre-underwriting analysis.

4.3 Data Accuracy

You are responsible for the accuracy and completeness of the documents you upload. The Platform's analysis is only as reliable as the source documents provided. You acknowledge that uploading fraudulent, altered, or misleading documents is prohibited and may constitute a violation of federal and state law.

4.4 Acceptable Use

You agree not to:

  • Use the Platform for any purpose other than legitimate pre-underwriting analysis in connection with your mortgage brokerage business
  • Upload documents for which you lack proper borrower authorization
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Platform
  • Circumvent rate limits, security measures, or access controls
  • Use automated tools (bots, scrapers, etc.) to access the Platform without our prior written consent
  • Share your account credentials with any unauthorized person
  • Use the Platform in any manner that could damage, disable, overburden, or impair it

5. Intellectual Property

5.1 Our Intellectual Property

The Platform, including its software, algorithms, analysis methodology, user interface, documentation, and branding, is owned by Margie and protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you.

5.2 License to Use the Platform

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal mortgage brokerage business purposes.

5.3 Your Content

You retain ownership of the documents you upload and the underlying borrower data. By uploading documents, you grant us a limited, temporary license to process that data solely for the purpose of performing the requested analysis. This license terminates automatically when processing is complete and in-memory data is purged.

5.4 Analysis Outputs

Analysis reports generated by the Platform are provided to you for your use in connection with your mortgage brokerage activities. You may retain, print, and share analysis outputs with relevant parties (such as lenders or borrowers) as necessary for your business. However, you may not resell, redistribute, or commercially exploit the Platform's outputs as a standalone product or service.


6. Confidentiality

6.1 Mutual Confidentiality

Each party agrees to treat as confidential any non-public information received from the other party in connection with the Platform. This includes, for you, the Platform's proprietary analysis methodology, and for us, the borrower data you process through the Platform.

6.2 Exceptions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party without restriction; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is required to be disclosed by law, regulation, or legal process, provided that the disclosing party gives reasonable notice when permitted.


7. Disclaimers

7.1 “As Is” Provision

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We expressly disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

7.2 No Guarantee of Accuracy

We do not warrant that the Platform's analyses will be accurate, complete, error-free, or suitable for any particular purpose. The Platform uses artificial intelligence and machine learning technologies that may produce incorrect, inconsistent, or incomplete results. You are solely responsible for verifying all outputs.

7.3 No Guarantee of Availability

We do not warrant uninterrupted or error-free operation of the Platform. We may modify, suspend, or discontinue the Platform (or any part of it) at any time, with or without notice.


8. Limitation of Liability

8.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARGIE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.

8.2 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00).

8.3 Basis of the Bargain

You acknowledge that the limitations of liability in this Section 8 reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and Margie. The Platform would not be provided without these limitations.


9. Indemnification

You agree to indemnify, defend, and hold harmless Margie and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Platform in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your failure to obtain proper borrower authorizations before uploading documents
  • Any claim by a borrower or third party related to your use of the Platform or your handling of their data
  • Your reliance on the Platform's analysis outputs for any business decision

10. Term and Termination

10.1 Term

These Terms are effective upon your registration and remain in effect until terminated by either party.

10.2 Termination by You

You may terminate your account at any time by contacting us or through the account settings in the Platform.

10.3 Termination by Us

We may suspend or terminate your account immediately if:

  • Your Illinois mortgage broker license expires, is revoked, or is suspended
  • You breach any material term of these Terms
  • We reasonably believe your use of the Platform poses a security risk or may subject us to legal liability
  • We discontinue the Platform

We will make commercially reasonable efforts to provide advance notice of termination, except where immediate termination is warranted by the circumstances.

10.4 Effect of Termination

Upon termination, your right to access and use the Platform ceases. We will retain your analysis results for 30 days following termination, during which you may request export of your data. After 30 days, we may delete your stored analysis results. Sections that by their nature should survive termination (including Sections 7, 8, 9, 10.4, and 12) will survive.


11. Modifications to These Terms

We may modify these Terms at any time by posting the revised Terms on the Platform with a revised “Last Updated” date. We will provide at least 15 days' notice of material changes via email or through the Platform. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Platform and terminate your account.


12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall be resolved in the state or federal courts located in Cook County, Illinois. Each party consents to the exclusive jurisdiction and venue of such courts.

12.3 Entire Agreement

These Terms, together with the Privacy Policy and GLBA Compliance Statement, constitute the entire agreement between you and Margie regarding the Platform and supersede all prior agreements, understandings, and communications.

12.4 Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

12.5 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.6 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

12.7 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service provider failures.
